Terms of Service

These Terms of Service ("Terms") govern your access to and use of NonaGuard ("the Service"), a SaaS platform operated by Hexalian LLC ("we", "us", "our"). By registering with, accessing, or using NonaGuard, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

NonaGuard does NOT provide any of the following:

• Consulting, advisory, or professional services of any kind
• Bug fixing, code repair, module patching, or remediation work
• System administration, server management, or database maintenance
• Odoo implementation, customization, migration, or upgrade services
• Managed hosting, DevOps, or infrastructure management
• Guaranteed security assessments or compliance certifications
• Any form of manual human intervention on your Odoo instances

The Service generates automated reports based on data collected from your Odoo instance. Any "recommendations" or "insights" provided by the Service (including AI-generated content) are informational only and do not constitute professional advice. You are solely responsible for deciding whether and how to act on any information provided by the Service.

You acknowledge and agree that:

• You are responsible for your own Odoo instances. We do not access, modify, repair, or manage your systems in any way.
• Implementing recommendations is your choice and risk. Any changes you make to your Odoo instance based on our reports are entirely at your own risk.
• You must have authorization to scan any Odoo instance you connect to NonaGuard.
• Credentials you provide are encrypted at rest (AES-256 via Fernet). However, you are responsible for rotating or revoking API keys if you suspect compromise.
• You maintain your own backups. We are not liable for any data loss on your Odoo instances, regardless of whether you used our Service.

• You may authenticate via Google Sign-In or email/password.
• You must provide accurate and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must not share your account or allow others to use it.
• You must notify us immediately of any unauthorized access to your account.
• We may suspend or terminate accounts that violate these Terms.

NonaGuard offers the following subscription tiers. Plan features, limits, and pricing are subject to change with 30 days' notice:

• Free (trial-expired fallback): 1 instance, 3 scans/month, community support.
• Starter ($39/mo | $390/yr): 5 instances, 50 scans/month, email support (48h).
• Professional ($89/mo | $890/yr): 10 instances, 150 scans/month, AI insights, 3 team members, email support (24h).
• Agency ($179/mo | $1,790/yr): 25 instances, 500 scans/month, white-label, client portal, 10 team members, priority support (12h).
• Partner ($349/mo | $3,490/yr): 75 instances, 1,500 scans/month, API, webhooks, custom rules, 30 team members, dedicated support (8h).
• Enterprise (from $599/mo): Unlimited instances, 5,000+ scans, SSO/SAML, audit log, custom terms. Annual commitment required. Available by contacting sales.

Payments are processed through Stripe or Paddle (for EU/international customers). Subscriptions renew automatically at the end of each billing period. You may cancel anytime through the Customer Portal; cancellation takes effect at the end of the current billing period.

Support scope is limited to:

• Assistance with NonaGuard platform features and configuration
• Help connecting Odoo instances to the Service
• Billing and account questions
• Bug reports related to NonaGuard functionality

Support does NOT include:

• Fixing issues on your Odoo instance
• Implementing recommendations from scan reports
• Custom development, consulting, or advisory work
• Troubleshooting your Odoo server, database, or hosting
• Any work on systems outside of the NonaGuard platform itself

Best-effort response time targets by plan (not guaranteed):

• Starter: Best effort via email (48h target)
• Professional: Best effort, typically within 1 business day (24h target)
• Agency: Priority support, typically within 12 hours
• Partner: Dedicated support, typically within 8 hours
• Enterprise: Per custom agreement (2h SLA target)

• All plans include a 14-day free trial. A credit card is required to start the trial. You will not be charged until the trial ends.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• Refund requests within the first 30 days of a paid subscription will be considered on a case-by-case basis. Contact support@hexalian.com to request a refund.
• No refunds are issued after 30 days of paid service.
• Downgrading to a lower plan takes effect at the next billing cycle.

NonaGuard connects to your Odoo instance via XML-RPC or through our optional connector module. All operations are read-only. We do not modify, write, delete, or alter any data on your Odoo instance. API credentials are encrypted at rest using Fernet (AES-256-CBC + HMAC).

By connecting an Odoo instance, you confirm that you have proper authorization from the instance owner. You are solely responsible for any consequences of connecting unauthorized instances.

NonaGuard may provide AI-powered insights using third-party AI providers (OpenAI, Google, Anthropic) when you supply your own API key. AI-generated content is provided "as is" and may contain errors, inaccuracies, or hallucinations.

AI insights are informational only and do not constitute professional advice. You must independently verify any AI-generated recommendation before acting on it. We accept no liability for decisions made based on AI-generated content.

• NonaGuard is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied.
• We make no warranty that the Service will be uninterrupted, error-free, secure, or available at any particular time.
• We make no warranty that scan results are complete, accurate, or suitable for any particular purpose. Scans may miss issues or produce false positives.
• We are not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to: loss of data, loss of revenue, business interruption, Odoo downtime, failed upgrades, security breaches, or any other damages related to your Odoo instances.
• Our total aggregate liability for all claims related to the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim.
• You agree that you will not hold us responsible for issues, bugs, vulnerabilities, or failures in your Odoo instance, whether or not such issues were identified by our scans.

You agree to indemnify, defend, and hold harmless Hexalian LLC, its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of or inability to use the Service
• Your violation of these Terms
• Your violation of any third-party rights, including authorization to scan Odoo instances
• Any actions you take based on information provided by the Service
• Any claim that your use of the Service caused damage to a third party

Hexalian LLC retains all intellectual property rights in NonaGuard, including software, documentation, branding, and reports. You may not copy, distribute, reverse-engineer, or commercialize any part of the Service without prior written permission.

Scan reports generated for your account are licensed to you for your internal business use only. You may share reports with your team or clients but may not resell them as a standalone product.

You agree not to:

• Use the Service for any unlawful purpose
• Submit credentials for Odoo instances you are not authorized to access
• Attempt to reverse-engineer or extract source code from the Service
• Attempt to bypass rate limits, scan quotas, or subscription restrictions
• Use automated tools to scrape or overload the Service
• Use data collected from NonaGuard for direct marketing activity
• Engage in any activity that may damage or interfere with the Service

We may suspend or terminate your account at any time, with or without notice, for violations of these Terms or for any other reason at our sole discretion. You may delete your account at any time through your dashboard settings.

Upon termination, your data will be deleted in accordance with our Privacy Policy. We are not obligated to retain any of your data after account termination.

These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association, with proceedings held in Sheridan, Wyoming or remotely at our discretion.

You waive any right to participate in class action lawsuits or class-wide arbitration against Hexalian LLC.

We may update these Terms at any time. Material changes will be communicated via email to registered users at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
